VARIATIONS OF CONDITIONS
All orders shall be subject to these conditions. The acceptance by the
seller of any order from the buyer shall be deemed to incorporate these
conditions and none of them can be varied, suspended or added to
except with the agreement of the seller in writing.
NON-ASSIGNABILITY
This contract is not assignable without the seller's prior consent
in writing.
WARRANTIES
The seller's warrant that the goods shall comply with the seller's
written specification only.
FORCE MAJEURE
The seller shall not be responsible or liable in the event that they are
unable to complete the contract or a part of contract through any
force majeure.
DELIVERY
Any time or date for delivery named by the seller is an estimate only
and the seller shall not be liable for the consequences of any delay.
Delivery shall be deemed to be effected and risk shall pass to the buyer
when the goods have been removed from the vehicle carrying them.
CLAIMS
All claims for non-delivery or partial loss of goods shall be notified to the
seller within 7 days of delivery.
The buyer shall within 7 days of receipt of goods notify the seller in
writing if the goods are defctive in quality and permit the seller to
investigate such claim before the remainder of the goods are used or
returned to the seller.
The seller's liability arising out of any claim is limited to the purchase
price of the goods and not for any consequential damage.
PAYMENT
Prompt payment is of the essence of the contract.
Payment is due in full within 30 days of the date of the invoice unless
agreed otherwise by the seller in writing.
Failure to comply with payment terms will entitle the seller to
invalidate any warranty claims.
Without prejudice to any rights of the customer under this agreement,
any sums that are due from the customer that are not paid by the due
date shall thereafter attract interest on a daily basis at a rate of 4% per
annum above the base lending rate for the time being of Barclays
Bank plc.
RETURNS
No returned goods will be accepted unless a Goods Return Number
is obtained and quoted on the returned parcels.
PASSING OF PROPERTY
The property of the goods shall, not withstanding delivery to the purchaser,
remain the sellers until the purchaser has paid in full, including all other
sums whatsoever due to the seller.
If at any tim,e payment of the price or of any other sums due to the
seller is overdue, the seller may by it's servants or agents enter upon
the purchaser's premises and recover and dispose of the goods, and the
purchaser shall make no claim agaist the seller in respect of such entry
or disposal .
Until the date of payment, the purchaser is required to store the products
in such a way that it is clearly the property of the seller.
